8. Limitation of Liability

2. Monetary Cap

   These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
2. Agreement to Arbitrate
   You agree that any disputes arising out of or related to these Terms or your use of the Site shall be resolved by binding arbitration administered by a recognized arbitration organization in Sacramento County, California, or another location mutually agreed upon by the parties. Each party shall bear its own costs and attorneys’ fees.
3. Exceptions
   • Either party may seek injunctive relief in a court of competent jurisdiction to prevent an actual or threatened violation of these Terms.
   • In the event that the above arbitration agreement is held unenforceable by a court, any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts of Sacramento County, California.

11. Termination

We reserve the right to terminate or suspend your access to all or part of the Site at any time, without notice, for any reason, including without limitation any violation of these Terms. The provisions related to intellectual property rights, disclaimers of warranties, limitation of liability, and indemnification shall survive any such termination.

12. Miscellaneous

1. Entire Agreement
   These Terms, along with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Pediatric Dentistry of Palo Alto regarding the Site.
2. Severability
   If any provision of these Terms is held invalid or unenforceable, that provision shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions, and the remaining provisions shall remain in full force and effect.
3. No Waiver
   Our failure to enforce any right or provision under these Terms shall not operate as a waiver of such right or provision.
4. Assignment
   We may assign or transfer our rights and obligations under these Terms without restriction. You may not assign or transfer your rights or obligations under these Terms to any other party without our express written permission.
5. Headings
   Headings in these Terms are for convenience only and shall not affect their interpretation.
